1. INTRODUCTION

1.1 Overview

Welcome to ROLA.AI ("the App," "the Platform," "we," "us," or "our"). ROLA.AI is an AI-powered Web3 Social-Fi application. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and ROLA.AI (operated by its parent entity, hereinafter referred to as "the Company").

2. DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

3. ELIGIBILITY

3.1 Age Requirement

You must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction to create an Account and use the Platform. By using ROLA.AI, you represent and warrant that you meet this age requirement.

3.2 Legal Capacity

You represent and warrant that you have the full legal capacity and authority to enter into this Agreement and to comply with all of its terms and conditions.

3.3 Jurisdictional Restrictions

The Platform may not be available in all jurisdictions. You are solely responsible for ensuring that your use of ROLA.AI complies with all applicable local, state, national, and international laws and regulations. The Company makes no representation that the Platform is appropriate or available for use in any particular jurisdiction.

3.4 Entity Users

If you are using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" refer to both the individual and the entity.

4. ACCOUNT REGISTRATION & SECURITY

4.1 Account Creation

To access certain features of the Platform, you may be required to create an Account. You agree to provide accurate, current, and complete personal information and other related information during the registration process and to update such information as necessary to keep it accurate, current, and complete.

4.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your Account credentials (username, password, and any authentication tokens);
• All activities that occur under your Account, whether or not authorized by you;
• Immediately notifying ROLA.AI of any unauthorized use of your Account or any other breach of security.

4.3 One Account Per User

Each User is permitted to maintain only one (1) Account. The creation of multiple accounts by a single individual or entity is strictly prohibited and may result in immediate suspension or termination of all associated accounts.

4.4 Account Non-Transferability

Your Account is personal to you and may not be sold, transferred, assigned, or otherwise conveyed to any third party without the prior written consent of ROLA.AI.

4.5 Liability

ROLA.AI shall not be liable for any loss or damage arising from your failure to comply with the security obligations set forth in this Section.

5. TERMS OF USE

5.1 License Grant

Subject to your compliance with these Terms, ROLA.AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal and other legitimate purposes.

5.2 Permitted Uses

You may use the Platform to:

• (a) Access Predict to Reward, Answer to Reward, Rola Games, and other features;
• (b) Access and interact with AI-powered tools and services provided by ROLA.AI;
• (c) Access educational resources, tutorials, and support materials provided through the Platform;
• (d) Generate, view, and manage Content through the Platform's features;
• (e) Participate in the Rewards program in accordance with the applicable Rewards Policy;
• (f) Connect and interact with other Users and utilize collaborative features, where available.

5.3 Prohibited Uses

You agree NOT to:

• (a) Use the Platform for any unlawful, fraudulent, or malicious purpose;
• (b) Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App or any underlying algorithms, models, or technologies;
• (c) Copy, modify, adapt, translate, or create derivative works of the Platform or any part thereof without express written permission;
• (d) Use the Platform to generate, distribute, or promote content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or racially, ethnically, or otherwise objectionable;
• (e) Attempt to gain unauthorized access to the Platform, other Users' Accounts, or any computer systems or networks connected to the Platform;
• (f) Use automated systems, bots, scrapers, crawlers, or similar tools to access or interact with the Platform without express authorization;
• (g) Introduce viruses, malware, trojans, worms, or other malicious code into the Platform;
• (h) Interfere with, disrupt, or impose an unreasonable or disproportionately large load on the Platform's infrastructure;
• (i) Use the Platform to infringe upon the intellectual property rights, privacy rights, or other rights of any third party;
• (j) Sell, resell, license, or commercially exploit the Platform or any data, Content, or output obtained from the Platform without prior written consent;
• (k) Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
• (l) Manipulate, exploit, or abuse the Rewards program through fraudulent activities, including but not limited to creating fake accounts, using bots, or engaging in any form of Rewards farming;
• (m) Circumvent, disable, or otherwise interfere with any security-related features of the Platform;
• (n) Use the Platform to develop competing products or services.

5.4 AI-Generated Content

You acknowledge and agree that:

• (a) Content generated by ROLA.AI's artificial intelligence systems ("AI Output") may not always be accurate, complete, or up-to-date;
• (b) AI Output is provided "as is" and should not be considered professional advice, whether legal, medical, financial, or any other form;
• (c) You are solely responsible for reviewing, verifying, and validating any AI Output before relying on or acting upon it;
• (d) ROLA.AI makes no warranties or representations regarding the accuracy, reliability, or fitness for any particular purpose of any AI Output.

5.5 User-Generated Content

• (a) You retain ownership of any Content you create and submit to the Platform, subject to the license granted herein;
• (b) By submitting Content to ROLA.AI, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from your Content for the purpose of operating, improving, and promoting the Platform;
• (c) You represent and warrant that you own or have the necessary rights and permissions to submit all Content and to grant the foregoing license;
• (d) ROLA.AI reserves the right to remove, edit, or disable access to any User-Generated Content at its sole discretion.

5.6 Third-Party Services & Links

The Platform may contain links to or integrations with Third-Party Services. ROLA.AI does not control, endorse, or assume responsibility for any Third-Party Services. Your use of Third-Party Services is at your own risk and subject to the terms and conditions of those third parties.

5.7 Service Availability

ROLA.AI strives to provide uninterrupted access to the Platform but does not guarantee that the Services will be available at all times. The Platform may be subject to scheduled or unscheduled maintenance, updates, or outages. ROLA.AI shall not be liable for any interruption or disruption of the Services.

5.8 Modifications to Services

ROLA.AI reserves the right to modify, update, suspend, or discontinue any part of the Platform or Services at any time, with or without notice, and without liability to you.

6. User Conduct & Responsibilities

6.1 General Conduct

You agree to use the Platform in a lawful, ethical, and respectful manner. You are solely responsible for your interactions with other Users and for any Content you submit to the Platform.

6.2 Compliance with Laws

You shall comply with all applicable local, state, national, and international laws, statutes, ordinances, and regulations in connection with your use of the Platform.

6.3 Reporting Violations

If you become aware of any violation of these Terms or illegal activity on the Platform, you agree to promptly report such activity to ROLA.AI at info@rola.ai.

6.4 Indemnity for User Conduct

You agree to indemnify and hold harmless ROLA.AI, its affiliates, and their respective officers, directors, employees, and agents from any claim, loss, or damage arising from your conduct on the Platform.

7. Intellectual Property

7.1 ROLA.AI Ownership

All intellectual property rights in and to the Platform, including but not limited to software, algorithms, models, designs, graphics, logos, text, audio, video, and other Content provided by ROLA.AI, are owned by or licensed to the Company. These Terms do not grant you any ownership rights to the Platform or its Content.

7.2 Trademarks

ROLA.AI, the ROLA.AI logo, and any other trademarks, service marks, logos, or trade names appearing on the Platform are the exclusive property of the Company or its licensors. You are not authorized to use any of these marks without express written permission from ROLA.AI.

7.3 Feedback

If you provide ROLA.AI with any suggestions, feedback, ideas, or recommendations regarding the Platform ("Feedback"), you hereby grant the Company an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and commercialize such Feedback without compensation or attribution to you.

7.4 DMCA

If you believe that any Content on the Platform infringes your copyright, please notify us pursuant to the procedures outlined in the Digital Millennium Copyright Act (DMCA). Notices should be sent to: info@rola.ai.

8. Rewards Program

8.1 Rewards Overview

ROLA.AI may offer a rewards program ("Rewards Program") that allows Users to earn points, tokens, or other virtual incentives ("Rewards") by participating in activities on the Platform, such as Predict to Reward, Answer to Reward, and Rola Games.

8.2 Eligibility for Rewards

Not all Users may be eligible to participate in the Rewards Program. Eligibility may be limited by jurisdiction, age, account status, or other factors. ROLA.AI reserves the right to determine eligibility at its sole discretion.

8.3 Earning Rewards

Rewards may be earned through activities defined by ROLA.AI from time to time, including but not limited to answering questions, making predictions, and completing challenges. The amount and type of Rewards earned may vary depending on the activity.

8.4 Redemption & Use

Rewards may be redeemed for certain benefits or services as determined by ROLA.AI. The Company reserves the right to modify, suspend, or discontinue any redemption options at any time.

8.5 No Cash Value

Rewards have no cash value and cannot be exchanged for money unless explicitly stated otherwise by ROLA.AI. Rewards are non-transferable and may not be sold, traded, or assigned to any other person or entity without express permission from ROLA.AI.

8.6 Forfeiture

ROLA.AI reserves the right to revoke, withhold, or cancel Rewards at any time if the Company determines, at its sole discretion, that a User has violated these Terms, engaged in fraudulent activity, or otherwise misused the Rewards Program.

8.7 Modifications to Rewards Program

ROLA.AI reserves the right to modify, suspend, or terminate the Rewards Program at any time, with or without notice. The Company is under no obligation to maintain the Rewards Program or any particular feature thereof.

9. Taxation

9.1 User Responsibility

You are solely responsible for determining what, if any, taxes apply to your use of the Platform and any Rewards you receive, including but not limited to income taxes, value-added taxes (VAT), goods and services taxes (GST), sales taxes, or any other applicable taxes or duties.

9.2 Tax Reporting

It is your sole responsibility to report and remit the correct taxes to the appropriate tax authorities. ROLA.AI is not responsible for withholding, collecting, reporting, or remitting any taxes arising from your use of the Platform or receipt of Rewards.

9.3 Indemnity for Tax Liability

You agree to indemnify and hold harmless ROLA.AI from any claim, liability, penalty, or assessment arising from your failure to properly report or pay taxes.

9.4 No Tax Advice

ROLA.AI does not provide tax advice. You should consult with a qualified tax professional regarding your specific tax obligations.

9.5 Withholding

ROLA.AI reserves the right, in its sole discretion, to withhold taxes from any Rewards or payments to Users if required by applicable law.

9.6 User Cooperation

You agree to provide ROLA.AI with any tax-related documentation, including but not limited to tax identification numbers, Forms W-9, W-8, or other documents as may be required by law or reasonably requested by ROLA.AI.

9.7 Currency Conversion

To the extent that Rewards or any other amounts are denominated in a currency other than your local currency, you are responsible for any currency conversion and any tax consequences arising from such conversion.

10. Independent Contractor & No Employment Relationship

10.1 Independent Contractor Status

You acknowledge and agree that your relationship with ROLA.AI is that of an independent contractor. Nothing in these Terms shall be construed as creating an employment, agency, partnership, joint venture, or franchise relationship between you and ROLA.AI.

10.2 No Employee Benefits

You are not entitled to any employee benefits, including but not limited to health insurance, retirement benefits, disability insurance, workers' compensation, unemployment insurance, vacation pay, sick leave, or any other benefits provided to employees of ROLA.AI.

10.3 No Authority

You have no authority to bind ROLA.AI or any of its affiliates to any obligation or agreement, or to represent yourself as an employee, agent, or representative of ROLA.AI to any third party.

10.4 Control

You retain sole and exclusive control over the manner, means, and methods by which you use the Platform. ROLA.AI does not control, direct, or supervise how or when you access or use the Platform.

10.5 Financial Independence

You are financially independent and assume all financial risk associated with your use of the Platform, including any costs for equipment, internet access, or other expenses.

10.6 No Minimum Participation

You are not required to participate in any aspect of the Platform, including the Rewards Program, and you may cease participation at any time without penalty.

10.7 Right to Use Other Services

You are free to use other platforms, applications, or services, and nothing in these Terms restricts your ability to do so.

10.8 No Training

ROLA.AI does not provide training or supervision. Any educational materials, tutorials, or support provided by ROLA.AI are for informational purposes only and do not constitute training or employment-related supervision.

10.9 Taxes & Social Contributions

As an independent contractor, you are solely responsible for all taxes, social security contributions, and any other governmental charges applicable to your use of the Platform or receipt of Rewards. ROLA.AI will not withhold or pay any such taxes or contributions on your behalf unless required by law.

11. Privacy & Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Platform, you consent to the collection, use, and disclosure of your personal data as described in the Privacy Policy.

12. Disclaimers & Limitation of Liability

12.1 Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, ROLA.AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 No Guarantee of Accuracy

ROLA.AI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ROLA.AI DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT, AI OUTPUT, OR SERVICES PROVIDED THROUGH THE PLATFORM.

12.3 Third-Party Content

ROLA.AI IS NOT RESPONSIBLE FOR ANY THIRD-PARTY CONTENT, SERVICES, OR LINKS PROVIDED THROUGH THE PLATFORM. YOUR USE OF THIRD-PARTY SERVICES IS AT YOUR OWN RISK.

12.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROLA.AI, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ROLA.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.5 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROLA.AI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO ROLA.AI, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.

12.6 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations and exclusions may not apply to you, and ROLA.AI's liability shall be limited to the fullest extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless ROLA.AI, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

• (a) Your use of the Platform;
• (b) Your violation of these Terms;
• (c) Your violation of any law or the rights of any third party;
• (d) Your Content or any content you submit to the Platform;
• (e) Your breach of any representations or warranties made herein; or
• (f) Any activity related to your Account, whether by you or any other person using your Account with or without your authorization.

14. Termination & Suspension

14.1 Termination by You

You may terminate these Terms at any time by ceasing to use the Platform and deleting your Account.

14.2 Termination by ROLA.AI

ROLA.AI reserves the right to suspend or terminate your Account and your access to the Platform at any time, with or without cause, and with or without notice, including but not limited to if:

• (a) You breach any provision of these Terms;
• (b) ROLA.AI is required to do so by law;
• (c) ROLA.AI ceases to offer the Platform or any part thereof; or
• (d) ROLA.AI determines, in its sole discretion, that your use of the Platform poses a risk to ROLA.AI, other Users, or third parties.

14.3 Effect of Termination

Upon termination of these Terms, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14.4 No Refund

Upon termination, ROLA.AI is not obligated to refund any fees or Rewards you may have accumulated.

15. Dispute Resolution

15.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

15.2 Jurisdiction & Venue

You agree that any legal action, suit, or proceeding arising out of or related to these Terms or the Platform shall be instituted exclusively in the courts of Singapore, and you irrevocably submit to the exclusive jurisdiction of such courts.

15.3 Waiver of Class Actions

To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15.4 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting ROLA.AI at info@rola.ai.

16. Modifications to Terms

ROLA.AI reserves the right to modify, update, or replace these Terms at any time, at its sole discretion. If we make material changes to these Terms, we will provide notice by posting the updated Terms on the Platform and updating the "Effective Date" at the top of these Terms. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by ROLA.AI on the Platform, constitute the entire agreement between you and ROLA.AI regarding your use of the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Platform.

19. Acceptance of Terms

BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.
